* Advised a technology company with a plant in Costa Rica on the local treatment of restricted stock as a form of compensation;
* Advised a leading European company manufacturer of high-quality formulated products on their termination of local representation and assignment of rights thereto;
* Advised the buyer, a household product company, on the acquisition of the local asset sale and transfer agreement of one of the world's leading flora business;
* Advised the main energy drink company with their transition from one local distributor to another;
* Advised one of the largest banks in Panama on their acquisition of the local branch of a regional banking institution;
* Successfully advised the country's largest information technology company on their winning bid for the nation's high speed internet framework;
* We were the legal advisers for an aviation company in arbitration proceedings concerning termination of the commercial relationship with its exclusive representative for the Costa Rican territory. The arbitration award was favorable to the interests of our client.
* We gave advice to a consortium of companies of great international prestige in the Public Bidding Proceedings for the Pirris Hydroelectric Project, which is one of the biggest works of infrastructure in compacted concrete in the country.
* We were the local attorneys for coordination of a corporate restructuring of an European company with regional presence in Central America, involving comprehensive advice in several legal areas.
* We have given advice to a tourism company with a recognized trajectory in Costa Rica in working out its liabilities and implementing a corporate structure.
* We coordinated the creation of a new company of services in information technology at regional level, from Mexico to Bolivia.
* We designed a legal plan for imports of raw material for construction, in order to avoid application of Law 6209.
* We conducted Due Diligence proceedings for a food packaging company, and prepared, based on said analysis, the legal purchase offer submitted by our client.
* We implemented commodatum agreements in order that our client, a multinational company of medical equipment, could install its equipment in the Costa Rican health care sector.
* We gave advice to a global financial firm concerning the legal scope in Costa Rica of an offering of securities made to local investors, in connection with an issue structured at the NYSE.
*Liquidation of interests owned by one of the world's largest investment bank in energy related companies domiciled in Costa Rica.
*Due Diligence work on behalf of a potential buyer (client) of a certain plastic tubing system company
*Due Diligence and supervision of sale, on behalf o seller, in the acquisition of a Panamanian Bank's subsidiary domiciled in Costa Rica.
*Due Diligence, advice and closing on behalf of acquirer of certain electronic gambling operation in Costa Rica.
*Startup counsel to a certain specialized provider of investment research and analysis support services). Incorporation, free zone regime, full scope advise with regards to corporate, contractual, immigration and labor concerns.
*Renegotiated distributor relationship on behalf of distributor with an international food products company, a longtime commercial association.
*Negotiated on behalf of local representative for Central America, exhaustive distribution and representative agreements.
*Advised a international tobacco company on their bonus deployment, including but not limited to, certain stock options as well as their inclusion in the free zone regime for Costa Rica.
*Termination by one of the world's leading rum producers of its distributor relationship in Costa Rica and assignment to a new entity.
*Termination by a certain energy drink of its distributor and representation agreement in Costa Rica.
*Counseled a certain leading rum bottling company in Central America on their termination and assignment of distributor rights to new representatives.
*Advised the parent company of a global leader in money transfer services on their corporate consolidation in Costa Rica. Including labor, tax and organizational concerns.
Secured new routes on behalf of an Airline, including but not limited to San Pedro Sula.
*Arbitrated against the Government of Costa Rica on expropriation of contractual rights under First Bid of Oil Exploration and Exploitation.
*We consolidated local presence for several international banks based out of South Africa, London; Florida and Panama.
*Secured loan agreements on behalf of a certain Mexican government's development bank in charge of promoting and financing foreign trade in excess of US$10MM.
